Clear expectations for project work.

These terms apply to services supplied by Stafford Logic to business customers. Each project is also governed by its written proposal, quotation or statement of work. Where there is a conflict, the project-specific document takes priority.

Scope and changes

We will set out the agreed work, deliverables, timing and price in writing. Work outside that agreed scope may require a separate quotation, revised deadline or additional fee.

Client responsibilities

You are responsible for providing accurate information, approvals, access, content and feedback needed for the work. Delays in receiving these may move project timescales.

Fees and payment

Payment dates and any deposit or staged payments will be stated in the project quotation or invoice. We may pause work where an undisputed invoice is overdue.

Review and acceptance

You will have a reasonable opportunity to review agreed deliverables. Included revision rounds, if any, will be stated in the project proposal. Further changes may be charged separately.

Intellectual property

Once all fees due for a project have been paid, you receive the rights to use the final agreed deliverables for the purposes set out in the proposal. Pre-existing tools, code, templates, methods and third-party materials remain the property of their respective owners unless agreed otherwise in writing.

Hosting and third-party services

Where a project uses external providers, such as hosting, domains, email or software services, their own terms and charges may apply. We are not responsible for outages, changes or actions made by those third parties outside our reasonable control.

Liability

Nothing in these terms limits liability where the law does not allow it to be limited. Subject to that, Stafford Logic’s total liability in connection with a project is limited to the fees paid for that project in the twelve months before the event giving rise to the claim.

Ending a project

Either party may end a project by giving written notice if the other materially breaches the agreed terms and does not remedy that breach within a reasonable period. Fees remain payable for work completed and committed costs incurred up to the end date.
